These Terms & Conditions (“Terms”) govern your access to and use of the website at nexu.health(the “Site”) operated by PROFOPP LLC, doing business as Nexu Health (“Nexu Health,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.
About our service
Nexu Health provides white-label telehealth infrastructure to healthcare organizations. We are a technology and infrastructure provider. We do not practice medicine, do not provide medical advice, and do not establish a provider-patient relationship through this Site. Clinical services are delivered by independent, licensed healthcare providers engaged by our Clients. Any prescription is issued only after an evaluation by a licensed provider, consistent with applicable law.
These Terms govern the Site only. Access to and use of our platform and Services requires a separate written agreement signed by PROFOPP LLCand the relevant organization, including a Master Services Agreement and a Business Associate Agreement where applicable (together, the “Services Agreement”). The Services Agreement contains the complete terms for the Services — including fees, data ownership and protection, service levels, warranties, and liability — and, in the event of any conflict with these Terms with respect to the Services, the Services Agreement controls.
No medical advice; emergencies
Content on the Site is for general informational purposes only and is not medical advice. The Site is not for use in medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for business users and prospective Clients. If you use the Site on behalf of an organization, you represent that you are authorized to do so and to bind that organization to these Terms.
Accounts and access
Certain areas (such as the client login) are restricted to authorized users. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use or suspected security incident. We may suspend or revoke access to protect the Site or our users.
Acceptable use
You agree not to:
- Use the Site for any unlawful, harmful, or unauthorized purpose;
- Attempt to gain unauthorized access to, probe, scan, disrupt, or interfere with the Site, its security, or its underlying systems;
- Introduce malware or any code intended to damage or impair the Site;
- Scrape, harvest, reverse engineer, or use automated means to access the Site except for standard search-engine indexing;
- Copy, modify, distribute, or create derivative works of the Site or its content except as expressly permitted; or
- Misrepresent your identity or affiliation, or use the Site to transmit unsolicited or deceptive communications.
Intellectual property
The Site and its content, including text, graphics, logos, and software, are owned by or licensed to PROFOPP LLC and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal, lawful business purposes. All rights not expressly granted are reserved. Nexu Health and our logos are our trademarks; you may not use them without our prior written consent.
Feedback
If you send us suggestions, ideas, or other feedback about the Site or Services, you grant PROFOPP LLC a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use and incorporate that feedback for any purpose, without obligation or compensation to you.
Third-party services and links
The Site may reference or link to third-party services (for example, our client login or payment processing by Stripe). We are not responsible for third-party services, and their terms and privacy practices govern your use of them.
Electronic communications and consent
When you use the Site or contact us, you consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Disclaimers
The Site is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, secure, or error-free.
Limitation of liability
To the fullest extent permitted by law, PROFOPP LLC and its affiliates, and our respective officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Site, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars ($100). Liability relating to the Services is governed exclusively by the Services Agreement. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless PROFOPP LLCand its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
Termination and suspension
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or to protect the Site, our users, or our rights. Upon termination, the rights granted to you will cease. Provisions that by their nature should survive termination — including Intellectual property, Feedback, Disclaimers, Limitation of liability, Indemnification, Governing law and dispute resolution, and General — will survive.
Dispute resolution
Informal resolution first. Before filing any claim, you agree to contact us at hello@nexu.health and make a good-faith effort to resolve the dispute informally. We will attempt to resolve it within 30 days. If we cannot, either party may pursue the claim as set out below.
Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. You agree that any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.
Export controls and sanctions
You agree to comply with all applicable U.S. export control and economic sanctions laws and regulations. You represent that you are not located in, or a national or resident of, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted- or denied-party list.
Changes to these Terms
We may update these Terms from time to time. Changes are effective when posted, indicated by the “Last updated” date above. Your continued use of the Site constitutes acceptance of the updated Terms.
General
- Entire agreement. These Terms, together with our Privacy Policy and (for the Services) the Services Agreement, are the entire agreement between you and PROFOPP LLC regarding the Site and supersede prior understandings on that subject.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Relationship of the parties. These Terms do not create any partnership, joint venture, agency, or employment relationship between you and us.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
- Notices. Legal notices to us should be sent to the mailing address below; we may provide notices to you by posting on the Site or by email.
- Headings. Headings are for convenience only and do not affect interpretation.
